Directors and officers (D&O) insurance offers personal liability cover for company directors, officers and managers. Do I need Directors and Officers insurance?

As a company executive you could be held personally and legally liable for claims that arise from your business decisions and actions. Many business owners are under the impression that as a director of a limited company, your individual liability is limited to your share, or investment, in the business. This is not always the case. Individual directors of a business can be prosecuted for acting outside the capacity of their role, particularly if there are financial or legal implications.

If a key manager acted outside of the remit of their role, they could be pursued for compensation by shareholders, regulators, employees or other third parties.
